TecAce Software, Ltd (“us”, “we”, or “our”) operates the https://www.tecace.com website (hereinafter referred to as the “Service”). This page informs you of our policies regarding the collection, use and disclosure of personal data when you use our Service and the choices you have associated with that data. We use your data to provide and improve the Service. By using the Service, you agree to the collection and use of information in accordance with this policy. Unless otherwise defined in this Privacy Policy, the terms used in this Privacy Policy have the same meanings as in our Terms and Conditions.

1. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and TecAce Software, Ltd ("Company", "we", "us", or "our"), concerning your access to and use of the https://www.tecace.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). In addition to the Site, these Terms govern your use of our "AI Supervision Eval Studio" services, including SDKs, APIs, and related tools (collectively, the "Service"). 

You agree that by accessing the Site or using the Service, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY. 

2. DEFINITIONS OF AI SERVICES 
  • "Service" shall include the AI Supervision Eval Studio, the Supervision Evaluation SDK (Python library), APIs, dashboards, and any "TestSet Auto Generation" tools provided by Company. 

  • The Service involves the use of artificial intelligence and machine learning models, including integrations with third-party Large Language Models (LLMs). 

3. INTELLECTUAL PROPERTY RIGHTS & LICENSES 

Unless otherwise indicated, the Site and Service are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. 

3.1 LICENSE TO USE SDK

Subject to your compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Supervision Evaluation SDK solely for the purpose of interacting with the Service and evaluating your AI applications. You may not distribute, modify, or create derivative works of the SDK except as expressly permitted by the documentation. 

4. OWNERSHIP OF CONTENT AND AI DATA

As between the parties, you retain all rights, title, and interest in and to the text, documents (including PDF, DOCX, TXT files), and data you upload or transmit to the Service ("Input") and the evaluation reports and metrics generated thereby ("Output"). 

LICENSE TO COMPANY: You hereby grant Company a worldwide, royalty-free license to access, use, process, and display the Input and Output solely for the purpose of providing the Service, including calculating metrics such as Hallucination, Toxicity, and Faithfulness. urthermore, you agree that Company may use aggregated and anonymized data derived from your use (e.g., token usage rates, latency statistics, model performance benchmarks) to improve the Service and for analytical purposes, provided such data does not identify you or your specific Input. 

5. USER REPRESENTATIONS 

By using the Site and Service, you represent and warrant that: 

(1) you have the legal capacity and you agree to comply with these Terms of Use; 

(2) you are not a minor in the jurisdiction in which you reside; 

(3) you will not access the Site through automated or non-human means, except as authorized via our API/SDK; 

(4) you will not use the Site for any illegal or unauthorized purpose. 

5.1 USER REPRESENTATIONS FOR GENERATED CONTENT

By using the "TestSet Auto Generation" feature, you represent and warrant that: (i) you own the intellectual property rights in any documents uploaded to the Service or have obtained all necessary licenses to use them for AI training and evaluation; and (ii) the processing of such documents by the Service does not violate any third-party rights or applicable laws. You shall indemnify and hold harmless Company from any claims arising out of your unauthorized upload or use of protected materials. 

6. PROHIBITED ACTIVITIES 

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site and Service, you agree not to: 

  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us. 

  • PROHIBITED AI ACTIVITIES: 

  1. Use the Service to test or refine adversarial attacks (e.g., prompt injections, jailbreaks) against AI models that you do not own or have explicit authorization to test. 

  1. Use the Service to generate or evaluate content that is illegal, sexually explicit, or promotes violence. 

  1. Attempt to reverse engineer the scoring algorithms or weightings of the AI models used by the Service. 

  1. Send excessive API requests (DDoS) that disrupt the stability of the Service infrastructure. 

7. API USAGE AND LIMITS

You are responsible for maintaining the security of your API keys. Company reserves the right to impose limits on the number of API requests you may make within a given period ("Rate Limits"). If you exceed these limits, Company may throttle your access or suspend your account. You agree not to create multiple accounts to bypass these restrictions. 

8. AI AND MACHINE LEARNING DISCLAIMER  

THE SERVICE UTILIZES PROBABILISTIC ARTIFICIAL INTELLIGENCE SYSTEMS. YOU ACKNOWLEDGE THAT: 

  1. NO GUARANTEE OF ACCURACY: The evaluation metrics (including scores for Faithfulness, Hallucination, Bias, and Toxicity) are probabilistic estimates and may contain errors, inaccuracies, or false positives/negatives. 

  2. HUMAN REVIEW REQUIRED: The Service is intended as a support tool and should not be relied upon as the sole basis for determining the safety, accuracy, or compliance of your AI applications. You are solely responsible for human review of any outputs before deploying your AI models to production. 

  3. NO LIABILITY FOR FAILURES: Company does not warrant that the Service will detect all instances of toxicity, bias, prompt injection attacks, or PII leakage. 

9. LIMITATIONS OF LIABILITY 

IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT OR DATA, ARISING FROM YOUR USE OF THE SITE OR SERVICE. 

10. INDEMNIFICATION 

You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of: (1) your use of the Service; (2) your breach of these Terms of Use; (3) your violation of the rights of a third party, including intellectual property rights (specifically regarding uploaded documents for TestSet Generation). 

11. GOVERNING LAW & DISPUTE RESOLUTION 

These Terms of Use are governed by the laws of the State of Washington. Any legal action shall be commenced in the state and federal courts located in King County, Washington.
